EXECUTIVE SUMMARY

BroadBand Networks Corporation (BBNC) is the industry leader in xxxxxxxxxxx solutions for system-wide management of bandwidth and resources within digital television broadcast facilities.  The xxxxxx is highly scalable for xxxxxxxxx and interfaces with all mainstream hardware and software systems deployed throughout the traditional analog and digital broadcast and communications industry. Provider of Digital Content Management and Control Systems. BBNC's proprietary technology is unrivaled in its functionality and ability to manage highly complex digital broadcasting environments. BBNC will leverage its dominant position as a software solution for digital high-channel count broadcasting facilities to capture emerging digital broadband markets.

§         Direct-to-Home (“DTH”). BBNC currently dominates the global market xxxxx  systems for high-channel count DTH broadcast facilities, and faces essentially no competition. Well-known DTH providers in the U.S. include Hughes DirecTV and EchoStar. BBNC’s current customer base includes over 66% of the total number of high-channel count (greater than 100 channels) DTH service providers.

§         Digital Cable.  Evidenced through the recent signing of a major contract in the digital cable market is the Company’s ability to leverage its existing software to provide a comprehensive solution for the rapidly growing digital cable environment.  Recognized for its unique technical expertise and capitalizing on the lack of competitive solutions, BBNC is well positioned to dominate the market for traffic and control software solutions for digital cable operators.

§         Digital Television (“DTV”). BBNC is uniquely positioned to leverage its DTH and digital cable experience to capture the market for traffic and control software within the emerging DTV environment. Over 1,600 domestic stations are required to migrate from analog to digital broadcasting by 2006; managing the higher channel counts and additional digital services will require significant facility upgrades and represent an explosive target market for BBNC.

§         Datacasting, Content Distribution, High-Speed Internet Applications. BBNC has targeted these markets as key future growth areas.  Realizing the similar need for managing digital content in these environments, BBNC expects to leverage its existing software to enable broadband data distribution. BBNC’s software architecture has been designed to migrate to network environments that are characterized by a large number of simultaneous, high bandwidth, digital streams.

 MARKET SUMMARY

The global emergence of digital content distribution over broadband technology mediums (e.g. satellite, cable, DSL) is enabling broadcasters to expand services through a multi-channel, interactive and highly functional digital paradigm.  As a result, resource and bandwidth management is becoming a critical success factor for broadcasters as they send an exponentially growing number of audio, video, and data files over digital broadband networks.   

Digital upgrades of cable, telecommunications and online networks are occurring due to advances in digital compression and modulation technologies, allowing digital content to be sent efficiently over these new digital facilities. 

Intense competition, spurred by digital DTH high-channel count service offerings, is driving cable operators and terrestrial broadcasters to upgrade their networks to higher channel count, digital networks, as they cannot feasibly offer services which are competitive with DTH providers through their analog broadcasts.  The increased competition is also forcing operators to differentiate their subscriber offerings with highly functional, interactive multi-channel programming to defend or gain market share. The need to manage these highly complex, multi-channel digital services within this competitive marketplace is creating a heightened demand for advanced traffic and control software. 

Increased complexity and pressures to reduce costs, resulting from higher channel counts and advanced digital service offerings, have forced broadcasters to upgrade their facilities to manage additional channels, expanded programming options, multi-channel air-time-sales, and other interactive digital service applications.  These new complexities create an even greater need for a scalable traffic and control system to manage broadcast facilities.  

New business models will be identified as a result of the migration to the digital spectrum in order to justify increased costs from facility upgrades.  New sources of revenue from bandwidth optimization and datacasting applications will be realized.  Additionally, broadcasters and other content providers will realize cost savings through the use of complex digital traffic and control software systems that will facilitate the development and coordination of audio, video and data streams at their Network Operating Centers (“NOCs”).
